CLEANING SERVICE TERMS

Cleaning Service Terms & Conditions

Cleaning Service Terms
Effective Date: October 2026 · Version 1.0

These Cleaning Service Terms govern residential and commercial cleaning services provided by HALOCREST CLEAN LLC dba Halocrest Clean (“Halocrest Clean,” “we,” “us,” or “our”). By booking, authorizing, electronically accepting, or allowing services to begin after these Terms have been provided or made available, the client agrees to the applicable service terms presented in connection with the booking or service arrangement.

1. Scope of Service

Halocrest Clean provides residential and commercial cleaning services based on the service selected, the condition and accessibility of the property, the client’s stated priorities, and the scope confirmed before service begins.

Each quote or service agreement identifies the cleaning service and general scope being provided. Only the areas, tasks, and services included in the confirmed scope are included in the quoted service unless additional work is approved by both the client and Halocrest Clean.

Service needs can vary from property to property. Conditions such as heavier-than-anticipated buildup, excessive pet hair, limited access, specialty surfaces, unusual conditions, or requests beyond the confirmed scope may require additional time, a separate quote, a different service approach, or a future appointment. When practical, Halocrest Clean will review these conditions with the client before additional work is performed.

Residential Recurring Service. New residential clients who wish to begin recurring Halocrest Clean cleaning must first complete a Deep / Detailed Cleaning. This initial service helps us understand the home, address agreed areas requiring additional attention, and establish a starting condition and service baseline that can be maintained through recurring cleaning. Completion of a Deep / Detailed Cleaning does not automatically require the client to continue with recurring service.

Commercial Service. Commercial properties are evaluated based on the condition, use, accessibility, operational requirements, requested frequency, and agreed scope of the property. An Initial / Detailed Cleaning may be recommended before recurring janitorial service when the condition of the property warrants a stronger starting point.

Certain hazardous, specialty, highly technical, or higher-risk conditions may fall outside Halocrest Clean’s current service scope. Halocrest Clean may decline, pause, or modify a requested service when we reasonably determine that the work presents an unacceptable safety risk, requires specialized licensing, equipment, training, insurance, or remediation beyond the services we currently provide.

2. Pricing & Payment

Pricing is based on the information available at the time of quoting, including the service requested, property size and condition, accessibility, frequency, requested scope, and any special circumstances disclosed by the client.

Quotes are valid for the period stated in the quote. Pricing may be reviewed if the service is not scheduled within that period or if the information, property condition, requested scope, or service requirements materially change before service begins.

A deposit, payment method on file, or other booking authorization may be required to reserve a service appointment. Any required deposit and the remaining balance will be disclosed before the client confirms the booking.

Unless otherwise stated in the applicable quote, invoice, or service agreement, payment for completed service is due according to the payment terms provided at booking. If the client has separately authorized Halocrest Clean to charge a payment method on file, charges may be processed in accordance with that authorization and the agreed payment schedule.

Requests for additional tasks, areas, or services that were not included in the confirmed scope may result in additional charges. When practical, Halocrest Clean will review the requested change and any additional pricing with the client before performing work outside the original scope.

Recurring service pricing may be based on the agreed service frequency and scope. Changes in frequency, property condition, requested tasks, or service requirements may result in a pricing or scope review before future service continues.

3. Scheduling, Cancellations & Rescheduling

Scheduled Service

Service dates and expected arrival times are confirmed during the booking process. Because cleaning schedules may be affected by traffic, property conditions, prior appointments, staffing, or other operational circumstances, arrival times may be provided as an estimated time or arrival window rather than an exact guaranteed time.

Halocrest Clean will make reasonable efforts to communicate material scheduling delays or changes as soon as practical.

Client Cancellations & Rescheduling

We ask clients to provide at least 48 hours’ notice when cancelling or rescheduling a scheduled service.

Cancellations or rescheduling requests received at least 48 hours before the scheduled service may be made without a cancellation charge, unless different terms were disclosed in the applicable quote, service agreement, recurring-service arrangement, or booking confirmation.

Cancellations or rescheduling requests received less than 48 hours before the scheduled service may be subject to the applicable cancellation charge disclosed before booking, which may be up to 50% of the scheduled service value.

Same-day cancellations, failure to provide agreed property access, or circumstances attributable to the client that prevent our team from reasonably performing the scheduled service after arrival may be treated as a missed appointment and may be subject to the applicable missed-appointment charge disclosed before booking, which may be up to 100% of the scheduled service value.

When a deposit has already been paid, any applicable cancellation or missed-appointment charge may be applied against that deposit rather than charged twice for the same obligation.

Recurring Service Changes

Recurring service is scheduled around an agreed frequency and service plan. Repeated cancellations, rescheduling, extended gaps between visits, or changes in service frequency may require Halocrest Clean to review future scheduling, pricing, or the appropriate cleaning scope before service continues.

Longer gaps between recurring visits may also result in additional cleaning needs that fall outside the previously established maintenance scope.

Changes by Halocrest Clean

Occasionally, Halocrest Clean may need to delay, reschedule, or cancel a service because of weather, unsafe conditions, illness, staffing issues, vehicle problems, emergencies, property-access concerns, or circumstances beyond our reasonable control.

When this occurs, we will make reasonable efforts to notify the client and offer an alternative service date based on availability. A service that Halocrest Clean is unable to perform will not be treated as a client cancellation.

4. Property Access

Access to the Property

The client is responsible for ensuring that Halocrest Clean team can access the property and the areas included in the confirmed service scope at the scheduled service time.

Access may be provided in person or through an agreed method such as a key, lockbox, access code, smart-lock credential, building entry procedure, property-management authorization, or other approved arrangement.

Any special access requirements, including gates, security desks, parking restrictions, elevators, loading areas, alarm systems, restricted entrances, or building-management procedures, should be disclosed before service begins.

Keys, Codes & Access Information

Keys, access codes, alarm instructions, and similar information provided to Halocrest Clean will be used for legitimate service-related purposes and handled in accordance with our reasonable privacy and security procedures.

Clients should notify us promptly if access credentials change or should no longer be used.

Halocrest Clean may decline to retain a physical key or other access method when we determine that a different arrangement would be more appropriate for security or operational reasons.

Unable to Access the Property

If our team cannot gain access to the property or the agreed service areas at the scheduled time, we will make a reasonable effort to contact the client using the information available to us.

If access cannot be provided within a reasonable period, the appointment may be considered a missed service and may be subject to the cancellation or missed-appointment terms described in Section 3.

Any additional waiting time, return trip, parking expense, building-access charge, or similar cost resulting from access issues may require separate review or additional charges when applicable.

Restricted or Inaccessible Areas

Halocrest Clean is not required to enter areas that are locked, restricted, unsafe, inaccessible, or not included in the confirmed scope.

If access limitations prevent part of the agreed service from being completed, the team may continue with accessible portions of the service when reasonably practical. The inability to access an area does not automatically expand the service time or require work outside the confirmed scope.

Access Changes During Ongoing Service

For recurring clients, changes to property access, security procedures, building rules, parking, or entry requirements should be communicated before the next scheduled visit.

Material access changes that affect service time, staffing, equipment movement, or the ability to perform the agreed work may require a scheduling, scope, or pricing review.

5. Pets, Occupants & Property Safety

Pets

Clients are responsible for informing Halocrest Clean in advance about pets that may be present during service, particularly animals that may be protective, anxious, aggressive, prone to escaping, or sensitive to unfamiliar people, equipment, or cleaning activity.

When appropriate, pets should be secured in a safe area away from active cleaning zones while service is being performed.

Halocrest Clean team members are not responsible for feeding, walking, supervising, restraining, or otherwise caring for pets unless a separate written arrangement specifically provides otherwise.

If an animal presents a safety concern or prevents reasonable access to the agreed service areas, Halocrest Clean may pause, modify, or discontinue the affected portion of the service until the condition can be safely addressed.

Children, Occupants & Guests

Clients are responsible for maintaining reasonable supervision of children, guests, employees, contractors, or other occupants who may be present during service.

For safety, individuals should avoid active cleaning areas when equipment, cords, wet surfaces, cleaning products, ladders, or other service materials are in use.

Halocrest Clean may temporarily restrict access to an area when reasonably necessary to perform the service safely.

Unsafe Conditions

The client should notify Halocrest Clean before service of any known condition that may reasonably affect the safety of our team or the ability to perform the agreed work, including:

- unstable or damaged flooring;

- exposed electrical hazards;

- broken glass or sharp objects;

- unsafe stairs or railings;

- active pest infestations;

- excessive clutter that creates access or trip hazards;

- aggressive animals;

- hazardous materials;

- bodily fluids or other potentially biohazardous conditions;

- unsafe structural conditions; or

- any other unusual condition that may require specialized handling.

Halocrest Clean may decline, pause, modify, or discontinue work in any area that we reasonably believe presents an unsafe condition, requires specialized remediation, or falls outside our current service capabilities.

Property Preparation

Clients are encouraged to remove or secure important documents, cash, jewelry, medications, firearms, collectibles, fragile items, or other valuable or sensitive property before service begins.

Items that are unusually delicate, unstable, irreplaceable, or of significant sentimental or monetary value should be identified in advance so the appropriate service approach can be discussed.

Halocrest Clean is not required to move, handle, or clean around an item when doing so would create an unreasonable risk of damage or injury.

Right to Stop Work

If a condition arises during service that creates a reasonable safety concern for the team, occupants, property, or equipment, Halocrest Clean may stop work in the affected area or leave the property when necessary.

When practical, we will notify the client and explain what must be addressed before service can continue or be rescheduled.

6. Damage, Breakage & Client Property

Pre-Existing Conditions

Halocrest Clean is not responsible for damage, deterioration, wear, instability, or defects that existed before service began or that result from ordinary aging, improper installation, prior repairs, weakened materials, loose fixtures, defective components, or other pre-existing conditions.

Examples may include loose handles, unstable shelves, cracked surfaces, peeling finishes, worn coatings, improperly secured décor, damaged furniture, brittle plastics, deteriorated grout or caulking, loose blinds, or items that may not withstand ordinary cleaning activity.

Clients should disclose known fragile, damaged, unusually valuable, or unstable items before service begins.

Fragile & Sensitive Items

Clients are encouraged to secure or identify items that are fragile, irreplaceable, sentimental, unusually valuable, or especially sensitive to handling or cleaning products.

Halocrest Clean may decline to move, handle, clean, or treat an item when we reasonably believe doing so could create an increased risk of damage.

Specialty surfaces, finishes, materials, or items requiring manufacturer-specific care should be disclosed before service so the appropriate approach can be reviewed.

Accidental Damage

Halocrest Clean takes reasonable care when working in and around client property. If an accidental breakage or damage incident occurs during service, we will make reasonable efforts to document the incident and notify the client.

Reporting an incident does not by itself constitute an admission of liability.

Client Reporting

Clients should report any suspected service-related damage as soon as reasonably practical after discovery and provide sufficient information for Halocrest Clean to review the circumstances.

When appropriate, we may request photographs, video, receipts, manufacturer information, repair estimates, or other documentation reasonably necessary to evaluate the reported concern.

Delays in reporting may make it more difficult to determine the cause or circumstances of the damage.

Review & Resolution

Halocrest Clean will review reported damage concerns in good faith based on the available information, the condition of the property or item, the service performed, and any relevant documentation.

When Halocrest Clean determines that a loss or damage is reasonably attributable to our service, the appropriate resolution may include repair, replacement, reimbursement, service credit, or another reasonable remedy depending on the circumstances.

Any repair, replacement, or reimbursement arrangement should be approved by Halocrest Clean before the client incurs expenses that they expect Halocrest Clean to reimburse.

Normal Wear, Deterioration & Unforeseeable Failure

Halocrest Clean is not responsible for ordinary wear and tear, latent defects, material failure, manufacturer defects, improperly installed items, deterioration, or damage that could not reasonably have been anticipated through ordinary cleaning activity.

Nothing in these Terms is intended to limit rights or remedies that cannot legally be limited under applicable law.

7. Service Concerns, Completion Review & Re-Clean Requests

Completion Review

Halocrest Clean aims to complete each service in accordance with the confirmed scope and applicable service standards.

When appropriate, clients are encouraged to review the completed service promptly and communicate any concern related to the agreed scope as soon as reasonably practical.

Reporting a Service Concern

If a client believes that an area or task included in the confirmed scope was not completed as expected, the concern should be reported promptly after service.

To help us review the concern, Halocrest Clean may request photographs, video, a description of the affected area, or other information reasonably necessary to understand the issue.

Service concerns should identify the specific area or task involved rather than rely solely on general statements about overall satisfaction.

Review of the Concern

Halocrest Clean will review reported concerns in good faith based on the confirmed scope, the condition of the property, accessibility, service notes, photographs or documentation when available, and the circumstances of the service.

Not every concern will require a return visit. Depending on the situation, the appropriate response may include clarification of the agreed scope, additional service guidance, a future-service adjustment, a service credit, a re-clean of the affected area, or another reasonable resolution.

Re-Clean Requests

When Halocrest Clean determines that a re-clean is appropriate, the timing and scope of that re-clean will be based on availability, the nature of the concern, and the work reasonably necessary to address the affected area.

A re-clean is limited to the portion of the service that Halocrest Clean determines was within the confirmed scope and requires additional attention.

A re-clean does not automatically include new tasks, additional rooms, changed conditions, specialty work, or areas that were not part of the original confirmed scope.

Conditions Outside the Original Service

Halocrest Clean is not responsible for conditions that arise after service is completed, including new spills, dirt, occupancy, guest activity, pet activity, contractor work, weather-related tracking, ongoing construction, or other conditions occurring after the team leaves the property.

Concerns involving inaccessible areas, undisclosed conditions, excluded services, pre-existing conditions, or work outside the confirmed scope may require separate review or additional pricing.

No Absolute Guarantee

Halocrest Clean does not promise that every surface, stain, buildup condition, odor, discoloration, or pre-existing condition can be fully removed or restored through standard cleaning services.

Results may vary based on the material, condition, age, prior care, accessibility, and compatibility with appropriate cleaning methods and products.

Nothing in this Section is intended to limit rights or remedies that cannot legally be limited under applicable law.

8. Team Members, Conduct & Safety Standards

Professional Conduct

Halocrest Clean expects its team members to conduct themselves professionally, respectfully, and in a manner consistent with the company’s service standards.

Team members are expected to follow applicable training, safety procedures, property-access instructions, confirmed service scope, and reasonable client-specific requirements communicated before service.

When practical, Halocrest Clean team members may wear company-branded clothing, uniforms, identification, or other professional attire appropriate to the service being performed.

Training & Service Standards

Halocrest Clean provides team members with training and guidance appropriate to their assigned responsibilities, including cleaning procedures, equipment use, hygiene practices, property care, and applicable safety expectations.

Training and service procedures may evolve as the company adopts new equipment, products, operating standards, or service offerings.

Halocrest Clean does not represent that every team member holds specialized licenses, certifications, or credentials unless specifically stated for the service being provided.

Background Checks

Where Halocrest Clean elects to conduct background screening for certain employees, contractors, or roles, such screening will be handled in accordance with applicable law and company policy.

Unless Halocrest Clean expressly states otherwise in writing, these Terms should not be interpreted as a guarantee that every person who performs work for or on behalf of Halocrest Clean has undergone the same type or level of background screening.

Respectful & Safe Environment

Clients, occupants, guests, employees, contractors, and other individuals present at the property are expected to interact with Halocrest Clean team members in a respectful and appropriate manner.

Harassment, threats, intimidation, discriminatory conduct, unwanted physical contact, sexual harassment, aggressive behavior, or other conduct that creates an unsafe or hostile environment will not be tolerated.

Halocrest Clean may pause, discontinue, or decline service when a team member reasonably believes that the environment has become unsafe, threatening, abusive, or inappropriate.

Safety Procedures

Team members may use equipment, cords, cleaning products, wet-floor procedures, ladders, carts, vacuums, or other service materials while performing the confirmed work.

Clients and occupants should avoid interfering with active work areas or equipment and should follow reasonable safety requests made by the team during service.

Halocrest Clean may modify the order, method, or timing of work when reasonably necessary to protect team members, occupants, property, equipment, or the quality of the service.

Client Instructions & Boundaries

Clients may communicate reasonable property-specific instructions, priorities, or concerns related to the confirmed service.

However, clients should not direct Halocrest Clean team members to perform work that falls outside the confirmed scope, violates company safety procedures, requires specialized training or licensing, or presents an unreasonable risk.

Requests for additional or materially different work should be directed through Halocrest Clean so the scope, safety requirements, and pricing can be reviewed before the work is performed.

Right to Reassign or Change Personnel

Halocrest Clean may assign, replace, or reassign team members based on scheduling, availability, training, operational needs, or service requirements.

Clients are purchasing cleaning services from Halocrest Clean, not the services of a specific individual, unless a separate written arrangement states otherwise.

9. Cleaning Products, Equipment & Surface Compatibility

Products & Equipment

Halocrest Clean generally provides the cleaning products, tools, and equipment reasonably necessary to perform the confirmed service scope.

Products and equipment may vary based on the property, surface type, service requested, operational needs, product availability, and our current cleaning procedures.

Halocrest Clean may substitute a product, tool, or cleaning method when we reasonably determine that another option is more appropriate for the surface, condition, safety requirements, or service being performed.

Surface Compatibility

Cleaning results and appropriate cleaning methods may vary depending on the material, finish, age, condition, installation, prior treatment, manufacturer guidance, and existing wear of a surface or item.

Halocrest Clean may decline to use a product or method when we reasonably believe it could damage, discolor, etch, strip, weaken, stain, or otherwise adversely affect the surface or item.

Clients should disclose specialty finishes, delicate materials, recently refinished surfaces, manufacturer-specific care requirements, or other known sensitivities before service begins.

Client-Requested Products

Clients may request that a particular cleaning product be used; however, Halocrest Clean reserves the right to review the product before use.

We may decline to use a client-supplied or client-requested product if:

- the product is not labeled for the intended use;

- required instructions or safety information are unavailable;

- the product is incompatible with the surface or service;

- its use would create an unreasonable safety concern;

- the product requires specialized handling, equipment, or training;

- or the requested use conflicts with Halocrest Clean’s operating standards.

When Halocrest Clean agrees to use a client-supplied product, the client should provide the product in its original labeled container and disclose any relevant manufacturer instructions or known sensitivities.

Disinfectants & High-Touch Surfaces

When disinfection is included in the confirmed service scope, Halocrest Clean uses appropriate products on compatible surfaces according to applicable product-label directions, including required application methods, contact times, and surface instructions.

Cleaning and disinfection are different processes. A standard cleaning service does not automatically mean every surface has been disinfected unless disinfection is specifically included in the confirmed scope.

Halocrest Clean does not guarantee that cleaning or disinfection services will eliminate all germs, allergens, microorganisms, odors, contaminants, or risks of illness.

Eco-Friendly or Specialty Product Requests

Clients may request environmentally preferable, fragrance-sensitive, hypoallergenic, low-odor, or other specialty product approaches.

Availability and suitability of those requests may depend on the property, service type, surface compatibility, and products currently approved for Halocrest Clean’s use.

Specialty product requests may require advance notice, a different service approach, or additional pricing when appropriate.

Halocrest Clean does not represent that every product used is “eco-friendly,” “non-toxic,” “chemical-free,” hypoallergenic, or suitable for every individual unless specifically stated and supported for the product being used.

Equipment Care

Halocrest Clean maintains and handles reusable cleaning equipment according to its operating procedures.

Equipment may be cleaned, maintained, disinfected where appropriate, inspected, or replaced between clients or services depending on the type of equipment and its intended use.

Clients should not alter, operate, move, or interfere with Halocrest Clean equipment while it is being used without the team’s permission.

10. Specialty Conditions, Excluded Services & Right to Decline Work

Specialty or Higher-Risk Conditions

Halocrest Clean provides general residential and commercial cleaning services within its current training, equipment, operating procedures, and service capabilities.

Certain conditions may require specialized remediation, licensing, protective equipment, technical training, insurance, or other controls beyond standard cleaning services. Halocrest Clean may decline, pause, modify, or refer work when we reasonably determine that the requested service falls outside our current capabilities or presents an unacceptable safety, property, or liability risk.

Examples of Services or Conditions That May Fall Outside Our Current Scope

Depending on the circumstances, Halocrest Clean may decline or require additional review for conditions involving:

- blood, bodily fluids, needles, medical waste, or other potentially biohazardous materials;

- suspected or confirmed mold requiring remediation;

- active pest, insect, rodent, or similar infestations;

- hazardous chemicals, unknown substances, or contaminated materials;

- sewage, wastewater, significant flooding, or similar contamination;

- fire, smoke, chemical, or disaster-related restoration;

- excessive clutter, hoarding conditions, or areas that cannot be accessed safely;

- structural hazards, exposed electrical hazards, unstable surfaces, or unsafe building conditions;

- lifting, moving, or handling items beyond reasonable cleaning-service limits;

- specialty restoration, refinishing, repair, or trade work;

- work requiring specialized licenses, certifications, containment procedures, or remediation protocols; or

- any other condition Halocrest Clean reasonably determines requires a different level of training, equipment, staffing, insurance, or professional expertise.

This list is illustrative and is not intended to identify every condition that may require separate review.

Post-Construction Cleaning

Post-construction cleaning is not currently offered by Halocrest Clean.

Construction dust, adhesives, paint, grout, caulk, debris, sharp materials, specialty residue, and other post-construction conditions may require equipment, procedures, training, staffing, insurance, or safety controls that differ from our current residential and commercial cleaning operations.

If Halocrest Clean adds post-construction cleaning as a service in the future, the applicable service scope, operating requirements, pricing, and these Terms may be updated before that service is offered.

Medical, Dental & Similar Facilities

Medical, dental, laboratory, clinical, and similar healthcare-related facility cleaning is not currently offered by Halocrest Clean.

Halocrest Clean does not represent its current commercial cleaning services as medical-grade cleaning, healthcare environmental services, infection-control services, regulated medical-facility sanitation, biohazard remediation, or any equivalent specialized healthcare cleaning service.

These environments may require specialized training, protocols, documentation, equipment, products, insurance, regulatory controls, or other operational safeguards beyond our current service scope.

If Halocrest Clean adds services for medical, dental, clinical, or similar facilities in the future, we will first review the applicable operational, insurance, safety, and compliance requirements and update our service terms and related materials as appropriate.

Right to Decline or Stop Work

Halocrest Clean may refuse, pause, modify, or discontinue any service when we reasonably determine that:

- the conditions differ materially from those disclosed before service;

- the property presents an unsafe or hazardous condition;

- the requested work falls outside the confirmed scope;

- specialized equipment, training, licensing, remediation, or insurance is required;

- the client requests a method or task inconsistent with Halocrest Clean’s safety or operating standards; or

- continuing the work would create an unreasonable risk to people, property, or equipment.

When practical, Halocrest Clean will explain the reason for the decision and may recommend that the client consult an appropriately qualified specialist.

Discovery During Service

If a specialty, hazardous, or excluded condition is discovered after service begins, Halocrest Clean may stop work in the affected area while continuing unaffected portions of the confirmed service when reasonably practical.

Any additional work, return visit, altered service approach, or separate pricing will require review and approval before proceeding.

11. Privacy, Communications & Electronic Consent

Client Information

Halocrest Clean may collect and use contact, property, scheduling, service, payment-related, and communication information as reasonably necessary to provide services, manage appointments, prepare quotes, process payments, communicate with clients, maintain business records, and support customer service.

Halocrest Clean will handle personal information in accordance with its applicable Privacy Policy and reasonable business practices.

Service Communications

By providing a phone number or email address in connection with a quote, booking, service request, account, or other business interaction, the client agrees that Halocrest Clean may use that contact information for service-related communications.

These communications may include appointment confirmations, scheduling updates, access questions, quote or invoice information, payment-related notices, service follow-up, and other transactional messages reasonably related to the client’s relationship with Halocrest Clean.

SMS / Text Messages

Where a client provides a mobile number and consents to text messaging, Halocrest Clean may send service-related SMS or text messages in accordance with the consent provided.

Message and data rates may apply. Message frequency may vary.

Clients may reply STOP to opt out of text messages and HELP for assistance where supported by the applicable messaging system.

Opting out of SMS messages does not prevent Halocrest Clean from communicating through other permitted methods when necessary to provide or administer a requested service.

Marketing Communications

Consent to receive marketing or promotional communications is not required as a condition of purchasing cleaning services.

Marketing communications, when used, will be handled in accordance with the consent provided and applicable law. Clients may withdraw marketing consent using the unsubscribe or opt-out method included with the communication.

Electronic Documents & Acceptance

The client agrees that quotes, invoices, service agreements, notices, policies, approvals, and other service-related documents may be provided electronically, including through email, text message, web forms, online portals, or electronic signature systems.

Electronic acceptance, checkbox confirmation, digital signature, online booking confirmation, or other affirmative electronic action may be treated as the client’s agreement to the applicable terms when the terms are made available before acceptance.

Communication Accuracy

Clients are responsible for providing accurate and current contact information and for notifying Halocrest Clean when their phone number, email address, authorized contact, or other material communication information changes.

Halocrest Clean is not responsible for delays caused by inaccurate, outdated, blocked, filtered, or inaccessible contact information that was provided by the client.

12. Insurance, Service Personnel & Company Representation

Insurance

Halocrest Clean will maintain insurance coverage applicable to its operations as required by law, contract, or company policy. Any representation regarding current insurance coverage will reflect coverage actually in force at the time the representation is made.

Insurance coverage, limits, carriers, and policy terms may change over time. Any certificate of insurance, proof of coverage, or specific insurance requirement requested by a commercial client, property manager, HOA, landlord, or other third party must be reviewed and approved before service begins.

Additional insured status, special endorsements, waiver requirements, primary and noncontributory wording, or other insurance-related requests are not automatically included and may require additional review, documentation, or pricing.

Bonding

Halocrest Clean will not represent itself as bonded unless an applicable bond is active and current.

If bonding is required for a particular property, contract, or client relationship, the requirement must be disclosed and reviewed before service begins.

Service Personnel

Halocrest Clean determines the personnel assigned to each service based on scheduling, availability, training, property needs, service scope, and operational requirements.

The company may assign, replace, rotate, or reassign team members as reasonably necessary.

Clients are purchasing services from Halocrest Clean, not from a specific individual team member, unless a separate written agreement specifically provides otherwise.

Scheduling, Scope & Payment Through Halocrest Clean

Clients should direct service requests, scheduling changes, scope changes, complaints, payment questions, and additional-work requests through Halocrest Clean rather than making separate arrangements directly with individual team members.

Payments for Halocrest Clean services should be made through approved company payment methods unless Halocrest Clean provides different written instructions.

Team members are not authorized to independently modify company pricing, contractual terms, service policies, or payment arrangements unless Halocrest Clean has specifically authorized them to do so.

Client Requests for Specific Personnel

Halocrest Clean may consider requests for a particular team member or crew; however, specific personnel assignments are not guaranteed.

Scheduling, staffing, illness, availability, training, operational needs, or other circumstances may require a different team member or crew to perform the service.

Third-Party or Authorized Service Personnel

Halocrest Clean may use employees, authorized service personnel, vendors, or other properly engaged individuals or entities where appropriate to support its operations.

Any such personnel performing services on behalf of Halocrest Clean are expected to follow applicable company procedures, confirmed service scope, and safety requirements relevant to the work assigned.

Nothing in these Terms should be interpreted as changing the legal relationship between Halocrest Clean and its personnel, which is governed by the applicable employment, contractor, vendor, or other agreement and applicable law.

13. Termination, Suspension & Refusal of Service

Client Cancellation of Ongoing Service

Clients may discontinue recurring or ongoing service by notifying Halocrest Clean. Any outstanding balance, cancellation charge, completed work, or other amount already due remains payable in accordance with the applicable service terms.

Ending recurring service does not entitle the client to a refund for services already completed or charges properly incurred before termination.

Halocrest Clean’s Right to Suspend or End Service

Halocrest Clean may suspend, decline, or terminate a service relationship when we reasonably determine that continuing the relationship is no longer appropriate, safe, operationally practical, or consistent with the agreed service arrangement.

Examples may include repeated late cancellations or missed appointments, unpaid balances, repeated access problems, unsafe or hazardous property conditions, abusive or inappropriate conduct, requests outside our current service scope, material misrepresentation of property conditions, repeated attempts to direct team members to perform unauthorized work, or other circumstances that materially interfere with our ability to provide service.

Unpaid Balances

Halocrest Clean may suspend future appointments when an account has an outstanding balance that is past due.

Suspension of service does not waive amounts already owed. Future service may require payment of outstanding amounts, updated payment authorization, a deposit, or other reasonable payment arrangements before scheduling resumes.

Unsafe or Inappropriate Conditions

Halocrest Clean may immediately stop or leave a service when a team member reasonably believes that continued work presents a safety concern, hostile environment, harassment risk, hazardous condition, or other unacceptable risk to people, property, or equipment.

When practical, Halocrest Clean will notify the client of the reason for the service interruption and whether the issue can be corrected before future service is considered.

Changes in Property or Service Requirements

If a property’s condition, access requirements, use, service frequency, requested scope, or other material circumstances change substantially, Halocrest Clean may require a new review, updated scope, revised pricing, or different service arrangement before continuing.

A recurring-service relationship does not guarantee that the same pricing, staffing, service duration, or scope will continue indefinitely when the underlying service conditions materially change.

Refusal of Future Service

Halocrest Clean may decline future work or choose not to renew or continue an ongoing service relationship when reasonably appropriate for business, safety, operational, scope, or client-relations reasons, subject to applicable law and any separate written agreement.

Effect of Termination

Termination or suspension of service does not affect provisions of these Terms that reasonably should continue after the service relationship ends, including payment obligations, damage-review procedures, privacy provisions, dispute-related terms, and other obligations arising from services already performed.

14. Disputes, Governing Law & General Terms

Good-Faith Resolution of Concerns

Halocrest Clean encourages clients to raise service, billing, scheduling, property, or other concerns promptly so that the matter can be reviewed while relevant information is still available.

Before pursuing formal action, the client and Halocrest Clean agree to make a reasonable good-faith effort to communicate regarding the concern and explore an appropriate resolution when practical.

Nothing in this provision prevents either party from exercising rights or remedies available under applicable law.

Governing Law

These Terms and the services provided by Halocrest Clean will be governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent another applicable law controls.

Nothing in these Terms is intended to waive or limit any consumer protection, statutory right, remedy, or obligation that cannot legally be waived or limited.

Entire Agreement

These Terms, together with the applicable quote, invoice, service agreement, booking confirmation, approved scope, and any other written terms specifically incorporated into the client’s service arrangement, constitute the agreement applicable to the services being provided.

If a separately signed written agreement expressly conflicts with these Terms, the separately signed agreement will control with respect to the conflicting provision unless that agreement states otherwise.

Changes to These Terms

Halocrest Clean may update these Terms from time to time to reflect changes in services, business practices, technology, legal requirements, or operating procedures.

The version applicable to a particular service will generally be the version presented or made available to the client in connection with that service or ongoing service relationship, subject to applicable law.

Material changes affecting an ongoing recurring-service arrangement may be communicated electronically or through another reasonable method before the updated terms apply.

Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

Where appropriate, an invalid or unenforceable provision should be interpreted or limited as closely as legally permitted to reflect its intended purpose.

No Waiver

A delay or failure by Halocrest Clean to enforce a provision of these Terms on one occasion does not constitute a permanent waiver of that provision or prevent it from being enforced later.

Similarly, an exception made for one client, appointment, or circumstance does not automatically create an ongoing policy or entitlement for future services.

Assignment

Clients may not transfer or assign their service agreement or rights under these Terms to another person, property, or entity without Halocrest Clean’s approval when the change would materially affect the service relationship.
